Publishing Agreement Between

    ("the Author")

    -and-

    Friends of the Ottawa Public Library Association
    1363 Woodroffe Ave, Unit B Box 33044,
    K2C 3Y9, Ottawa, ON
    (“the Publisher”)

    WHEREAS the Author has written a poem, short story, or comic (the “Work”) tentatively entitled:

    (If you are a winner in multiple categories, you may enter all your work titles in the field above)

    and the Publisher has undertaken to publish the Work on the terms and conditions herein contained;
    NOW THEREFORE it is mutually agreed between the parties as follows:

    GRANT OF RIGHTS

    1. (a) The Author hereby grants to the Publisher, unrestricted copyright in the Work and any renewals, continuations and extensions thereof, the sole and exclusive licence to print, publish, distribute and sell the Work in a printed and bound anthology, in the language it was originally written (English or French) in Canada and throughout the World (the “Territory”). The Author hereby further grants and licenses to the Publisher, in the Territory, first serial rights, electronic rights and the additional rights in the Work hereinafter set forth.

    (b) The Publisher retains the right to edit the Work for any and all uses described under this Contract, provided that the Author's original concept of the Work is not materially altered.

    (c) All rights and/or licenses in the Work not granted to the Publisher by this Agreement shall remain the property of the Author.

    AUTHOR'S WARRANTY

    2. The Author hereby warrants and represents to the Publisher:

    (a) that the Author is the sole Author of the Work and the sole owner of the rights herein granted and that the Author has not assigned such rights or entered into any agreement which would derogate from or conflict with the rights granted to the Publisher herein and will not do any of the above;

    (b) that the Author has the full right, power and authority to enter into this Agreement and to grant the rights herein granted;

    (c) that except for materials of others, permission for use of which has been obtained or will be obtained by the Author, at the Author’s own expense, the Work is original and previously unpublished as a whole;

    (d) that the Work does not contain any material which violates any right of privacy, which is libellous or contains any statements which disclose any information given to the Author on the understanding that it would not be published or disclosed;

    (e) that the Work does not contain any material the publication of which would contravene any contract of the Author, express or implied;

    (f) that no material in the Work plagiarizes any other Work, or infringes on any copyright, or, to the Author’s knowledge, any trade mark or other proprietary right;

    (g) that no recipe, formula or instruction contained in the Work will be injurious to the user or others without allergies or special medical conditions or abnormality.

    The warranties and representations contained in this Agreement extend to licensees, officers, directors, employees, agents, successors and assigns of the Publisher. The Author’s warranties do not extend to any material in the Work not supplied by the Author.

    PROMOTION

    3. (a) The Publisher may use and authorize use of the Author’s name/ likeness and photograph in connection with advertising, publicizing and promoting the Work.

    (b) The Publisher agrees to gain permission from the Author before making public any other personal information about the author for the purposes of publicity and promotion of the Work.
